Effective Date: October 02, 2025
By engaging True Base Pty Ltd ("we," "us") for software development, design, or consultancy services, you agree to be bound by these Terms of Service.
We agree to provide the IT consultancy, design, and development services as described in your specific Statement of Work (SOW), Quote, or Project Agreement. Any changes to the scope must be agreed upon in writing.
Client Ownership: Upon full payment of all fees, True Base Pty Ltd grants the Client a non-exclusive, perpetual, worldwide license to use the custom code and designs delivered.
Background IP: True Base Pty Ltd retains ownership of any pre-existing code, libraries, or tools used to build the project, granting the Client a license to use such tools as part of the final deliverable.
To the extent permitted by Australian Consumer Law, True Base Pty Ltd is not liable for indirect, incidental, or consequential damages (including loss of data, revenue, or business interruption) arising from the use of our software deliverables.
Invoices are due within 14 days of issue unless otherwise agreed in the SOW. We reserve the right to suspend ongoing development or support services for accounts that are overdue by more than 7 days.
Both parties agree to keep all proprietary information, trade secrets, and technical data confidential. We will not disclose your project details to third parties without your consent, except as required for project delivery (e.g., cloud hosting).
These terms are governed by the laws of South Australia, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Australia.
